1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "User," or "you") and Enforcer Labs Private Limited, a company incorporated under the laws of Maharashtra, India, with its registered office at Plot No. 12, Sector 15, BKC, Bandra (East), Mumbai, Maharashtra, 400051, India ("Enforcer Labs," "Company," "we," "us," or "our").

By accessing or using any Enforcer Labs product or service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.

If you do not agree to these Terms, you must not access or use our products or services.


2. Definitions

"Enforcer Marketing" means the publicly accessible marketing website, informational pages, landing pages, lead capture forms, and associated analytics dashboard hosted at enforcer-cca.com.

"Enforcer Dashboard" means the proprietary enterprise compliance, governance, and infrastructure drift detection platform licensed for self-hosted deployment on Customer infrastructure.

"Services" means, collectively, Enforcer Marketing and Enforcer Dashboard, as applicable to the Customer's engagement.

"Customer Data" means any data, content, configurations, logs, metadata, or information processed by or submitted to the Services by or on behalf of Customer.

"Documentation" means the technical and user documentation made available by Enforcer Labs in connection with the Services.

"Order Form" means any executed ordering document, statement of work, or purchase order referencing these Terms.

"Subscription Term" means the period during which Customer is authorized to use the applicable Service, as specified in the Order Form.

"Authorized User" means any individual whom Customer permits to access and use the Services under Customer's account.


3. Product-Specific Terms

3.1 Enforcer Marketing

(a) Enforcer Marketing is a publicly accessible website provided free of charge for informational and marketing purposes.

(b) Enforcer Marketing may collect limited personal information through contact forms, email subscription forms, and analytics tracking, as described in our Privacy Policy and Cookie Policy.

(c) We reserve the right to modify, suspend, or discontinue Enforcer Marketing at any time without prior notice.

(d) Enforcer Marketing is hosted on third-party infrastructure (Vercel) and is subject to the availability and performance of such third-party platforms.

(e) No service level agreement applies to Enforcer Marketing.

3.2 Enforcer Dashboard

(a) Enforcer Dashboard is licensed enterprise software deployed entirely within Customer's private infrastructure and network environment.

(b) Access to Enforcer Dashboard requires a valid perpetual license obtained through an executed Order Form or Enterprise License Agreement.

(c) Customer is solely responsible for the installation, configuration, maintenance, and operation of Enforcer Dashboard within Customer's infrastructure.

(d) Enforcer Labs does not host, access, or control Customer's production environment. Customer retains full ownership of and responsibility for all infrastructure, data, and systems on which Enforcer Dashboard operates.

(e) The deployment, operation, and security of Enforcer Dashboard within Customer's environment is Customer's sole responsibility.


4. Account Registration and Security

4.1 Where account registration is required, you agree to provide accurate, current, and complete information during registration and to maintain the accuracy of such information.

4.2 You are responsible for safeguarding credentials used to access the Services and for all activities that occur under your account.

4.3 You must notify Enforcer Labs immediately at legal@enforcer-cca.com upon becoming aware of any unauthorized access to or use of your account.

4.4 Enforcer Labs shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.


5. Permitted Use

5.1 Subject to these Terms and any applicable Order Form, Enforcer Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the applicable Services during the Subscription Term (for Enforcer Dashboard) or while available (for Enforcer Marketing).

5.2 You shall use the Services only for their intended purpose and in compliance with all applicable laws, regulations, and these Terms.

5.3 You shall not use the Services for any purpose that is illegal, harmful, or violates the rights of any third party.


6. Restrictions

You shall not, and shall not permit any third party to:

(a) Copy, modify, adapt, translate, or create derivative works of the Services or any component thereof, except as expressly permitted in the applicable license;

(b) Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Services;

(c) Sublicense, sell, resell, rent, lease, lend, distribute, or otherwise transfer or make available the Services to any third party;

(d) Remove, obscure, or alter any proprietary notices, labels, or marks on the Services;

(e) Use the Services to build a competitive product or service, or to benchmark the Services against a competitive product or service;

(f) Interfere with or disrupt the integrity or performance of the Services;

(g) Attempt to gain unauthorized access to any systems, networks, or data connected to the Services;

(h) Use automated means to access or interact with the Services beyond the intended functionality, except through published APIs;

(i) Use the Services to transmit any malware, viruses, or other harmful code.


7. Customer Data and Responsibilities

7.1 Enforcer Marketing

(a) Customer Data submitted through Enforcer Marketing is limited to information voluntarily provided through contact forms, email subscriptions, and website interactions.

(b) Data processing for Enforcer Marketing is governed by our Privacy Policy.

7.2 Enforcer Dashboard

(a) Customer retains all right, title, and interest in and to Customer Data processed by Enforcer Dashboard.

(b) Enforcer Labs does not access, store, or process Customer Data. All Customer Data remains within Customer's infrastructure.

(c) Customer is solely responsible for:

  • the legality, accuracy, quality, and integrity of Customer Data;
  • the means by which Customer acquires and inputs data into Enforcer Dashboard;
  • compliance with all applicable data protection and privacy laws with respect to Customer Data;
  • backup, disaster recovery, and business continuity for Customer Data.

(d) Customer acknowledges that Enforcer Dashboard processes infrastructure metadata, configuration data, compliance audit records, and security logs. Customer is responsible for ensuring that such processing complies with Customer's internal policies and applicable regulations.


8. Fees and Payment

8.1 Enforcer Marketing

Enforcer Marketing is provided free of charge. No fees apply.

8.2 Enforcer Dashboard

(a) Fees for Enforcer Dashboard are set forth in the applicable Order Form.

(b) Unless otherwise stated in the Order Form, all fees are quoted in United States Dollars (USD) and are non-refundable.

(c) Payment is due within thirty (30) days of the invoice date, unless otherwise specified in the Order Form.

(d) Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.

(e) All fees are exclusive of applicable taxes. Customer is responsible for all sales, use, value-added, withholding, and similar taxes, excluding taxes based on Enforcer Labs' net income.


9. Intellectual Property

9.1 Enforcer Labs retains all right, title, and interest in and to the Services, including all intellectual property rights therein. These Terms do not convey any ownership interest in the Services.

9.2 Customer retains all right, title, and interest in Customer Data.

9.3 Any feedback, suggestions, or ideas provided by Customer regarding the Services may be used by Enforcer Labs without obligation or compensation.

9.4 The Enforcer name, logo, and all related trademarks are the property of Enforcer Labs Private Limited.


10. Term and Termination

10.1 Term

(a) For Enforcer Marketing: These Terms remain in effect for as long as you access the website.

(b) For Enforcer Dashboard: The term commences on the effective date of the Order Form and continues for the period specified therein. Perpetual licenses remain in effect indefinitely, subject to compliance with these Terms.

10.2 Termination for Cause

Either party may terminate these Terms if the other party:

(a) materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice; or

(b) becomes insolvent, files for bankruptcy, or ceases operations.

10.3 Effect of Termination

(a) Upon termination, Customer's right to use the Services immediately ceases.

(b) For Enforcer Dashboard: Customer must cease all use of the Software and destroy or return all copies of the Software and Documentation within thirty (30) days of termination.

(c) Termination does not relieve either party of obligations accrued prior to the effective date of termination.

(d) Sections 6, 7, 9, 10.3, and 11 through 20 survive termination.


11. Limitation of Liability

PLEASE REFER TO THE SEPARATE LIMITATION OF LIABILITY DOCUMENT (10_limitation_of_liability.md) FOR COMPLETE TERMS.

Summary: Enforcer Labs' aggregate liability under these Terms shall not exceed the total fees paid by Customer in the twelve (12) months preceding the claim. In no event shall Enforcer Labs be liable for indirect, incidental, special, consequential, or punitive damages.


12. Warranty Disclaimer

PLEASE REFER TO THE SEPARATE WARRANTY DISCLAIMER DOCUMENT (11_warranty_disclaimer.md) FOR COMPLETE TERMS.

Summary: The Services are provided "AS IS" and "AS AVAILABLE." Enforcer Labs disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.


13. Indemnification

14. Governing Law and Dispute Resolution

15. General Provisions

15.1 Entire Agreement

These Terms, together with any applicable Order Form, Privacy Policy, and referenced policies, constitute the entire agreement between the parties concerning the subject matter hereof.

15.2 Amendments

Enforcer Labs may update these Terms from time to time. Material changes will be communicated via email or prominent notice on our website. Continued use of the Services following such changes constitutes acceptance.

15.3 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.4 Waiver

The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment

Customer may not assign these Terms without Enforcer Labs' prior written consent. Enforcer Labs may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

15.6 Force Majeure

Neither party shall be liable for any delay or failure to perform resulting from causes outside its reasonable control, including natural disasters, acts of government, pandemics, Internet failures, or third-party service outages.

15.8 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

15.9 Export Compliance

Customer agrees to comply with all applicable export and import control laws and regulations. See Export Control Policy (14_export_control.md) for details.
