1. Overview

These Enterprise Software License Terms ("License Terms") govern the commercial licensing of Enforcer Dashboard to enterprise customers. These terms supplement the End User License Agreement (04_eula.md) and are incorporated by reference into each Order Form.


2. License Models

2.1 Perpetual License

(a) A one-time perpetual license fee grants Customer the right to use the Software indefinitely, subject to compliance with these terms.

(b) The perpetual license covers the version of the Software delivered at the time of purchase.

(c) Access to future major versions, updates, and support requires an active Support and Maintenance subscription.

2.2 License Metrics

Licenses may be scoped by one or more of the following metrics, as specified in the Order Form:

2.3 License Tiers

Specific features, node limits, and pricing are detailed in the applicable Order Form or Enterprise Service Agreement.


3. Order Forms

3.1 Each license purchase is documented in an Order Form executed by both parties.

3.2 Order Forms shall specify: license tier, license metric, quantity, fees, payment terms, support level, and any special terms.

3.3 In the event of conflict between an Order Form and these License Terms, the Order Form shall prevail to the extent of the conflict.

3.4 Order Forms may be executed electronically and shall be binding upon execution.


4. Fees and Payment

4.1 License Fees. One-time perpetual license fees are due upon execution of the Order Form, unless otherwise specified.

4.2 Support and Maintenance Fees. Annual support and maintenance fees, if applicable, are invoiced annually in advance.

4.3 Payment Terms. All invoices are due within thirty (30) days of the invoice date (Net 30), unless otherwise specified in the Order Form.

4.4 Currency. All fees are in United States Dollars (USD) unless otherwise specified.

4.5 Taxes. All fees are exclusive of applicable taxes. Customer is responsible for all sales, use, VAT, GST, withholding, and similar taxes, excluding taxes based on Enforcer Labs' net income.

4.6 Late Payment. Overdue amounts accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

4.7 No Refunds. Perpetual license fees are non-refundable once paid, except as expressly provided in the Order Form.


5. Delivery

5.1 Upon receipt of payment and execution of the Order Form, Enforcer Labs shall deliver:

(a) the Software in the agreed format (container images, installers, or source archive);

(b) the License Key for activation;

(c) access to the Documentation portal;

(d) access to the support portal (if applicable).

5.2 Customer is responsible for downloading, installing, and configuring the Software.


6. Deployment Rights

6.1 Customer may deploy the Software within:

(a) on-premises data centers;

(b) private cloud environments (AWS, Azure, GCP, or equivalent);

(c) air-gapped or isolated network environments;

(d) hybrid environments spanning the above.

6.2 Customer may deploy the Software in non-production environments (development, staging, QA) without additional license fees, provided such environments are used solely for internal testing and are not used for production workloads.

6.3 Disaster recovery deployments are permitted without additional license fees, provided the DR deployment is passive and used only in the event of a primary deployment failure.


7. Procurement and Compliance

7.1 Enterprise Procurement

Enforcer Labs supports enterprise procurement processes, including:

(a) security questionnaire responses;

(b) vendor risk assessments;

(c) SOC 2 alignment documentation;

(d) data processing agreements;

(e) custom contractual terms (subject to mutual agreement).

7.2 Compliance Documentation

Upon request, Enforcer Labs shall provide:

(a) software bill of materials (SBOM);

(b) open source license disclosures;

(c) security architecture documentation;

(d) penetration test summaries (subject to NDA);

(e) data flow diagrams.


8. Multi-Year and Volume Licensing

8.1 Multi-year support and maintenance agreements may be offered at discounted rates.

8.2 Volume licensing discounts may apply for deployments exceeding 100 nodes or users.

8.3 All multi-year and volume terms shall be documented in the Order Form.


9. Reseller and Partner Terms

9.1 Enforcer Labs may authorize resellers or channel partners to distribute licenses.

9.2 Licenses obtained through authorized resellers are subject to these License Terms.

9.3 Enforcer Labs maintains a list of authorized resellers at reseller program or partner registry available upon request.


10. License Transfer

10.1 Licenses are non-transferable except with Enforcer Labs' prior written consent.

10.2 In the event of a merger, acquisition, or corporate reorganization, Customer may request license transfer. Enforcer Labs shall not unreasonably withhold consent, provided the successor entity agrees to these License Terms.
